These Terms of Service ("Terms") govern your access to and use of the Apex platform, including all CRM features, lead scraping tools, D2D mapping, and any related services (collectively, the "Service") provided by Apex LLC ("Apex," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By signing up for or using the Apex platform, you represent that: (a) you are at least 18 years old; (b) you have the legal authority to enter into this agreement on behalf of yourself or your business; and (c) you agree to comply with these Terms and all applicable laws. If you are using Apex on behalf of a business entity, you represent that you are authorized to bind that entity.

2. Description of Services

Apex provides a software-as-a-service (SaaS) platform designed for home service businesses. The platform includes:

3. Subscription Plans and Billing

3.1 Plans

Apex offers the following subscription plans:

Plan features, pricing, and included credits are subject to change with 30 days written notice.

3.2 Lead Credits

Lead credits are used to access homeowner data through the Lead Scraper feature. Credits are consumed when a full lead profile (name, address, phone number, home value) is unlocked. Additional credits may be purchased at $4.50 per credit. Unused credits included in your monthly plan do not roll over. Purchased credit packs do not expire.

3.3 Free Trial

New accounts receive a 30-day free trial. No credit card is required to start a trial. At the end of the trial period, continued access requires a paid subscription. Apex reserves the right to modify or discontinue the free trial offer at any time.

3.4 Payment Terms

All fees are billed in advance on a monthly basis. You authorize Apex to charge your payment method on file on each billing date. All payments are non-refundable except as expressly stated in these Terms. If payment fails, Apex may suspend your account until payment is received.

3.5 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period. You will retain access to the platform through the end of the period you have paid for.

4. Lead Data and Homeowner Information

4.1 Data Source

Homeowner data available through the Lead Scraper is aggregated from publicly available property records and third-party data providers. Apex does not guarantee the accuracy, completeness, or currency of any data. You are responsible for verifying information before relying on it for business decisions.

4.2 Permitted Use

You may use lead data obtained through Apex solely for legitimate business development and marketing purposes related to your home service business, including direct outreach, quote follow-up, and scheduling services.

You may not use lead data for any of the following:

You are solely responsible for complying with all applicable federal and state laws governing telephone solicitation, including the TCPA and relevant state statutes. This includes scrubbing contact lists against the National Do Not Call (DNC) Registry before placing calls, obtaining required consent before sending automated texts or using autodialers, and complying with any applicable state-specific calling restrictions. Apex is not liable for your failure to comply with applicable laws.

5. User Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify Apex immediately of any unauthorized use. Apex is not liable for any loss resulting from unauthorized access to your account through no fault of Apex. You may not share login credentials across multiple individuals unless you have purchased the appropriate multi-user plan.

7. Intellectual Property

All content, features, software, trademarks, and logos associated with the Apex platform are the exclusive property of Apex LLC or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during the term of your subscription. Nothing in these Terms transfers any ownership of Apex intellectual property to you.

You retain ownership of all data you input into the platform, including contact information, notes, and job records. You grant Apex a limited license to process and store your data solely to provide the Service.

8. Privacy and Data Security

Apex's collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. Apex implements industry-standard security measures to protect data stored on the platform. You are responsible for ensuring your use of the platform complies with all applicable privacy laws.

9. Disclaimers and Limitation of Liability

9.1 Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. Apex disclaims all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Apex does not warrant that the Service will be uninterrupted, error-free, or that lead data will be accurate or complete.

9.2 Limitation of Liability

To the maximum extent permitted by applicable law, Apex's total liability for any claims shall not exceed the total fees paid by you to Apex in the three (3) months preceding the event giving rise to the claim. In no event shall Apex be liable for any indirect, incidental, special, consequential, or punitive damages.

9.3 Indemnification

You agree to indemnify, defend, and hold harmless Apex LLC and its officers, employees, and agents from any claims, damages, losses, and expenses arising out of: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law including telemarketing and privacy laws; or (d) your use of lead data obtained through the platform.

10. Termination

Apex may suspend or terminate your account at any time, with or without cause, including if Apex determines you have violated these Terms. You may terminate your account at any time by contacting support. Upon termination, your right to use the Service will immediately cease. Sections relating to intellectual property, disclaimers, limitation of liability, and indemnification shall survive termination.

11. Modifications to Terms

Apex reserves the right to modify these Terms at any time. We will provide at least 14 days' advance notice of material changes via email or an in-platform notification. Your continued use of the Service after the effective date of the modified Terms constitutes your acceptance of the changes.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida. Disputes shall first be submitted to good-faith negotiation. If not resolved within 30 days, disputes shall be resolved by binding arbitration administered in Hillsborough County, Florida, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for matters relating to intellectual property or unauthorized use.
